End User License Agreement (EULA)

Introduction

Welcome to Eta Connector. This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Apps Valley ("Company", "we", or "us") for the use of the Eta Connector software ("Software"), which connects your QuickBooks Online, QuickBooks Desktop, Zoho Books, Odoo, or Xero account to Eta for sending invoices and sales receipts.

1. Acceptance of Terms

By using the Software, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not use the Software.

2. License Grant

Apps Valley grants you a limited, non-exclusive, non-transferable license to use the Software for the purpose of integrating your QuickBooks Online, QuickBooks Desktop, Zoho Books, Odoo, or Xero account with Eta for sending invoices and sales receipts.

3. Restrictions

You agree not to:

• Modify, copy, or create derivative works based on the Software;
• Decompile, reverse engineer, or disassemble the Software;
• Remove any proprietary notices or labels from the Software;
• Transfer the Software to any third party without prior written consent from Apps Valley.

4. Intellectual Property

The Software and all intellectual property rights in and to the Software are and shall remain the exclusive property of Apps Valley. This Agreement does not convey to you any rights of ownership in or related to the Software.

5. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranty of any kind. Apps Valley disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

In no event shall Apps Valley be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of the Software, whether in an action of contract, tort, or otherwise, even if Apps Valley has been advised of the possibility of such damages.

7. Termination

This Agreement is effective until terminated. Apps Valley may terminate this Agreement at any time without notice if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of laws principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and Apps Valley regarding the use of the Software and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
